CAG Subsidiary Signs US$5 Million Financing Agreement
Capital Alliance Group Inc. (TSX.V: CPT) is pleased to report that its subsidiary, CIBT School of Business and Technology Corp. (“CIBT”), has executed a financing agreement with an affiliate of Camden Partners Holdings, LLC, a Baltimore, MD based private equity firm with significant expertise in the for-profit education sector.
The agreement sets forth the terms and conditions for Camden’s affiliate to invest US$5 million into CIBT through the purchase of a debenture and a warrant to purchase shares of CIBT. Subject to no material adverse changes and satisfaction of certain other conditions, the parties expect to close the transaction later this month.
BMO Capital Markets Corp. acted on behalf of CIBT as the placement agent. The proceeds from the financing will be used for expanding CIBT’s for-profit educational service operations in China.
